The short version. Use VDClens for what it is for, pay for the seats you use, and do not try to take the software apart. What you upload stays yours and you can take it with you. Everything the product calculates — quantities, budgets, schedules, clashes, code checks — is a starting point that a licensed professional has to review before anyone builds from it.
That last sentence is the one worth reading twice. It is section 11.
01The agreement
These terms are an agreement between you and VDC lens LLC, a Florida limited liability company. By creating an account, joining somebody else's organization, or using VDClens at all, you accept them. If you are accepting on behalf of a company, you are telling us you are allowed to bind that company, and «you» then means the company.
The Privacy Policy is part of this agreement. Read it — it is shorter than this and it is where the surprising things would be, if there were any.
02What the service is
VDClens is software you use through a browser. It carries a construction project from the model to the site: viewing drawings and models, measuring quantities, building a budget down to the resource, scheduling with line of balance, and running the field — RFIs, submittals, punch, daily reports, inspections and the rest. What you get depends on the plan you are on; the catalogue of who gets what is on the pricing section of the home page and it is part of this agreement.
We improve it constantly, and that means screens change. We will not remove something you are paying for without telling you first, and if we ever do remove a paid feature outright, you can cancel and we refund the unused part of what you paid.
03Accounts
- You need to be 18 or older and give us accurate details.
- An account belongs to one named person. Passwords are not shared and accounts are not passed around — that is not a licensing technicality, it is what makes «who changed this» mean anything, which is half of what you are buying.
- Keep your password to yourself. What happens under your account is your responsibility, and if you think somebody else got in, write to us straight away.
- Whoever owns the organization decides who joins it, what each member can reach, and who is removed.
04Seats and who pays
On the Ground plan, the price is per seat, and there are three kinds. The rule is not the device — it is the company:
- Office seat — anyone on your staff who works from the office side: project manager, estimator, BIM coordinator. Reaches everything the plan gives.
- Field seat — your staff on site: superintendent, foreman, warehouse. Reaches the field modules on phone and tablet.
- Collaborator — free, forever. Subcontractors, suppliers, the architect, the owner: people who are not employees of the subscribing company. They see only what was assigned to them and can respond to it.
Ground has a minimum of two office seats. Field seats have no minimum. Inviting your own employees as collaborators to avoid paying for them is a breach of this agreement, and it is the one we will actually notice.
05The trial
Every new organization gets 15 days free. The clock starts when you sign up, not when you get around to uploading something, and no credit card is needed to start. When it runs out you pick a plan or the account drops to what the free tier allows — nothing is deleted for letting a trial lapse.
06Plans and billing
- Subscriptions renew automatically — monthly on the month, annually on the year — until you cancel.
- Annual is one sentence: pay ten months, use twelve. No percentages to work out.
- Payments are handled by Stripe. Your card details go to them directly and never reach our servers.
- Prices are in US dollars and do not include tax, which we add where the law requires it.
- Cancel whenever you like. It takes effect at the end of the period you already paid for, and you keep everything until then.
- We do not refund part-periods, except where the law says we must or where section 2 applies. Add a seat mid-period and we charge the remaining part of it; remove one and it takes effect at renewal.
- If a price changes, it never changes on you mid-term. We give at least 30 days' notice before a renewal, and you can cancel instead.
- If a payment fails we will tell you and give you time to fix it before anything is suspended.
07The founding price
The founding programme is open until Sunday, 29 November 2026, 11:59 pm Pacific time — the Sunday that closes Thanksgiving weekend. If you subscribe before it closes, you pay 20% off for your first two years, and 15% off for as long as your subscription stays active after that. The discount applies to whichever plan you are on: if you move up or down, it follows the plan you actually use. It is the same rule for every plan. Extra Ground seats beyond the two included are billed at list price.
Cancel and it is gone. If you come back later you come back at whatever the price is then. That is the whole deal, said plainly, so that nobody discovers it at the worst moment.
08Your content is yours
Models, drawings, photographs, measurements, budgets, schedules, reports — everything you put in stays yours. We claim no ownership of any of it.
You give us only the permission we need to run the product for you: to store it, back it up, convert it between formats, and show it to the people you gave access to. That permission covers nothing else, it is not transferable, and it ends when you delete the content or close the account.
We do not use your content to train AI models, we do not show it to other customers, and we do not go looking through it. You are responsible for having the right to upload what you upload — a model somebody else owns is between you and them.
You can take it with you. While your account is open you can export your data at any time, and after it closes you have 30 days to do so.
09What you agree not to do
- Resell, sublicense or rent access to VDClens, or use it to run a service for people who are not your project collaborators.
- Take the software apart, copy how it works to build a competing product, or scrape it wholesale.
- Try to reach data that is not yours, probe the system for holes without asking us first, or get around the seat rules.
- Upload malware, or anything unlawful, or anything you do not have the right to upload.
- Load the service in a way meant to bring it down for everyone else.
If you find a security hole, tell us at hello@vdclens.com before you tell anyone else. We will thank you properly and we will not come after you for looking.
10The AI features
Some screens can draft an RFI, propose budget lines, read a specification or explain a clash. They only run when you press the button, and what they produce is a draft: check it before it leaves your hands. AI gets things wrong confidently, and the confidence is the dangerous part.
What is sent, to whom, and why it is not used for training is set out in the Privacy Policy. These features may change, may be limited by fair-use quotas, and are provided as part of the product rather than as a separate promise.
11Not professional judgement
Read this one
VDClens is a measuring and record-keeping tool. It is not an engineer, an architect, a code official or a cost consultant, and nothing it produces is a sealed calculation.
Quantities, budgets, schedules, clash results, egress and life-safety checks, flood and solar estimates, and anything an AI helper drafts are starting points. A qualified professional must verify them against the contract documents and the applicable codes before anyone orders material, signs a bid, or builds. You keep that responsibility; using this product does not move it to us.
This is not us hedging. It is the honest description of what the product does well: it carries a number from the drawing to the field with its screenshot, its level and its author attached, so that the professional reviewing it can see where it came from. That trail is the value. The signature is still yours.
12Availability
We work to keep VDClens up, and the field screens are built to keep working offline precisely because a jobsite basement has no signal. But we do not offer a guaranteed uptime level at this stage of the product, and we would rather say so than print a number we have not earned. We will give notice of planned maintenance where we reasonably can.
Keep your own copies of anything you cannot afford to lose. We back things up, and you should too.
13Ending it
You can close your account whenever you want, from inside the product or by writing to us. We can suspend or close an account if it breaches these terms, if payment stays unpaid after we have asked, or if the law requires it — and except where something serious is happening, we tell you first and give you a chance to put it right.
Either way you get 30 days to export your data before it is deleted. Sections 8, 11 and 14 to 17 survive the end of this agreement.
14Warranties
VDClens is provided as is. To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that any output is accurate or complete — which is what section 11 is about.
Some places do not allow those exclusions, so where that is true of yours, they do not apply to you.
15Limit of liability
To the fullest extent the law allows, neither side is liable to the other for indirect, incidental, special or consequential damages, or for lost profits, lost business or lost data, even if warned they were possible.
Our total liability arising out of this agreement is capped at what you paid us in the twelve months before the claim. If you paid us nothing, it is capped at one hundred US dollars. None of this limits liability for fraud, or for anything else that cannot be limited by law.
16Indemnity
You will cover us against claims brought by somebody else that arise from content you uploaded without the right to, from your use of the service in breach of these terms, or from a decision made on site or in a bid without the professional review described in section 11.
17Governing law
This agreement is governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any dispute goes to the state or federal courts sitting in Miami-Dade County, Florida, and both sides agree to that venue.
Before filing anything, write to us. Most of what ends up in a courtroom started as an email nobody sent.
18The rest
- Changes. We may update these terms. The date at the top moves with them, and for a material change we email everyone with an account at least 30 days before it takes effect. Carrying on using VDClens after that is how you accept them; if you would rather not, cancel and we refund the unused part of what you paid.
- Whole agreement. These terms and the Privacy Policy are the entire agreement between us about VDClens, and they replace anything said before.
- If a clause fails, the rest stays standing and the failed one is read as narrowly as it takes to make it work.
- Not enforcing something once does not mean giving it up.
- Assignment. You cannot transfer this agreement without our written consent. We can transfer it in a merger or a sale of the business.
- Notices to us go to hello@vdclens.com; notices to you go to the email on your account.
- Two languages. This page is written in English and Spanish. If they ever disagree, the English version governs.
